Background

Alison Kinnear brings nearly 30 years of expertise as a seasoned corporate and securities attorney.

Alison began her career at the prestigious firms Fried Frank and Davis, Graham & Stubbs. While raising her family, she served as counsel to other law firms, providing securities law expertise to corporate and real estate attorneys.

Her practice focuses on state and federal securities compliance, corporate structuring, business transactions, joint ventures, and private placements.

Alison’s deep knowledge and expertise includes:

  • Corporate structuring and re-structuring

  • Partner buyouts and buy-sell agreements

  • Business succession

  • Joint ventures and private placements (deal sizes $500 thousand to $50 million)

  • Mergers and acquisitions (deal sizes $300 thousand to $100 million)

  • Due diligence on non-traded REITs

  • Commercial contracts, including license agreements

  • Advising executives in complex employment, incentive, and severance agreements

Additionally, Alison acts as outside counsel to startups and growing businesses, which gives her the opportunity to provide both strategic input and legal guidance.

Outside the office, Alison enjoys exploring the mountains, doing pilates, hiking with her dogs, and reading.

  • Represented biotechnology company in $6 million dollar debt offering and joint venture transaction

  • Represented rideshare app company in joint venture agreement and fundraising documents for initial $500k seed raise

  • Represent numerous company owners in LLC membership repurchase and assignment transactions

  • Represented Colorado real estate holding company for 6 years in raising $20-50 million equity private placement real estate funds to purchase, own and manage distressed industrial properties and neighborhood shopping centers in secondary markets throughout U.S. 

  • Represented Colorado real estate developer of 20–300 unit multi-family projects in Colorado, Montana, Wyoming, and Nebraska in $8-$30 million debt and equity private placements, plus joint venture agreements

  • Represented countless investors in evaluating investment opportunities
